The Role

The Contracts Manager plays a crucial role in the legal and contracts team, working alongside the Energy Division General Counsel, another Legal Counsel, and the Head of Contracts.

In this position, the Contracts Manager will assist the Head of Contracts with contract review, negotiation, and closeout processes for the Division. Additionally, they may be called upon to support contract-related activities for other Group companies within the organization.

Principal Accountabilities

Working with the Energy Division Head of Contracts you will lead on leads on reviewing, negotiating, managing & coordinating all commercial & legal terms & conditions of contracts, NDAs, associated documents which the Division OpCos enter into with its customers & subcontractors, in strict compliance with the Group’s Contracting Principles and other commercial governance processes & procedures. Assisting Group Head of Contracts with reviewing and assessing any amendments required to the Group Contracting Principles from time to time.

  • Reviews, negotiates and manages all customer and other associated contracts for the Division.
  • Takes part in training the Divisional contracts team helping them develop their capabilities and contracts expertise.
  • Ensure compliance across the Division with all tender and contract management processes and, in doing so, seek feedback and make recommendation for continuous improvement
  • Work with JF Group legal/insurance to review & agree T&Cs for contracts & other legal agreements as necessary to ensure risk is acceptable and complies with Group policy or that authority to deviate therefrom has been obtained. Assist in placing any necessary contract insurances via JF Group insurance.
  • Work with Division Tenders & Proposals team to identify risk outwith accepted business risk, and to contingency price for that risk or qualify that the risk is excluded from the price or state the assumptions that the price is based upon.
  • Support the Division tenders & proposals team, outsourcing work as necessary on back to back terms with the head contract and assist Project Managers in placing any major sub-contracts/supply agreements post award of the head contract.
  • Input to formal Contract Review and Project kick-off with the PM, at the point of handover from tendering and proposals, to ensure the PM understands the contract legal & commercial deliverables/risks in both the head contract and major subcontracts, including key risks such as liabilities, warranties, liquidated damages, termination/suspensions, etc.
  • Provide the tendering team and project managers with post-contract legal and commercial advice, including management of all contract variations and associated contractual paperwork.
  • Maintain a liability register of NDAs, bonds and guarantees and warranties showing the expiry date of the liability
Knowledge, Skills and Experience
  • Must have good knowledge and experience of industry standard conditions such as Logic, Fidic, NEC etc.   Preferably have renewables/offshore wind experience; experience in O&G services sector essential; review, negotiation of contractual terms and conditions essential.
  •  We require an individual who possesses the ability to provide commercially focused and  pragmatic advice.
  •  Must be a robust decision maker with strong communication skills.
  • Must be able to communicate confidently with internal and external stakeholders, especially with regard to relaying complex contractual advice and ensuring compliance with mandatory requirements.
